Fairtab Terms of Service

Status: DRAFT. This document reflects product decisions already made for Fairtab and has been checked against them by svnlabs' internal legal team, but this is still not a substitute for review by a licensed attorney. Have it reviewed before it goes live, especially the governing law, the liability cap in section 10, the dispute resolution approach in section 13, and any region-specific consumer protection clauses (EU/UK/US vary, and Fairtab has users outside Thailand even though the operating entity is Thai). The bracketed placeholders that existed here have now been filled in based on the founder's decisions (see the note at the end of each affected section for what was decided and why); the substance still needs an attorney's sign-off before this is relied on for real users.

1. Who this agreement is with

Fairtab is a product operated by Uptechable Co., Ltd., operating as svnlabs.co ("we," "us," "our"). These Terms govern your use of Fairtab at invoice.svnlabs.co and any related apps (the "Service"). Our Privacy Policy explains how we handle your data and is part of this agreement by reference.

By using Fairtab, you agree to these Terms. If you're using Fairtab on behalf of a business, you're agreeing on that business's behalf, and confirm you have the authority to do so.

2. What Fairtab is, and isn't

Fairtab is a tool for creating and sending invoices. It gives you templates, lets you fill in your own details and your client's, and generates a PDF you can download or send.

Fairtab is not bookkeeping software, an accounting service, or a substitute for professional tax or legal advice. We don't check whether your invoices are accurate, whether your tax rates are correct, or whether an invoice meets the legal requirements of your country or industry. That's on you, or your accountant. If you need help with taxes, bookkeeping, or invoice compliance in your jurisdiction, talk to a qualified professional.

3. Accounts

You don't need an account to try Fairtab or to use a one-time pay-per-download. You do need one to save invoices, save clients, or subscribe to Pro.

You're responsible for the accuracy of the information in your account and for keeping your login credentials secure. Let us know if you think someone else has access to your account.

You must be old enough to enter into a binding contract in your country to create an account. Fairtab is not directed at children, and we don't knowingly collect account information from anyone under 16, or under the minimum age that applies where you live if that's lower.

4. Plans and pricing

Fairtab is offered on three plans:

  • Free: all 15 templates, live preview, up to 5 saved invoices, and downloads that include a small credit line below the invoice content ("This invoice was created through Fairtab"). No card required to start.
  • Pay-per-download: a one-time payment for a single clean download (no credit line, no account required).
  • Pro: a monthly subscription for unlimited saved invoices, unlimited clean downloads, your own logo and brand colors, drafts synced across devices, and early access to new templates.

Current prices are shown on the Fairtab pricing page. We may change prices going forward; if you're on a paid plan, we'll give you notice before a price change takes effect for your next billing period.

5. Payments

All payments are processed by Paddle.com, our payment provider, who acts as the merchant of record for purchases made on Fairtab. That means your transaction is with Paddle, not directly with us: Paddle handles billing, receipts, and sales tax/VAT on our behalf. Paddle's own terms and privacy policy apply to the payment itself, in addition to these Terms.

Pro subscriptions renew automatically each billing period until you cancel. You can cancel anytime from your account settings; your Pro access continues until the end of the period you already paid for, and you won't be charged again after that. See our Refund Policy for how refunds are handled.

6. Your data and your invoices

You own the content of your invoices; we don't claim any rights to your business information, your clients' information, or the invoices you create.

You're responsible for having the right to use any information you enter into Fairtab, including your clients' contact details. Don't use Fairtab to invoice for anything illegal, or to store or send information you're not authorized to hold. Where your invoices or saved clients include another person's personal data (your client's name, email, address, or similar), you're the one responsible for having a lawful basis to hold and use it; we process it on your behalf to provide the Service, as described in our Privacy Policy.

If you downgrade from Pro to Free and you're over the 5-saved-invoice limit, we won't delete anything without warning. New saves are paused until you're back under the limit or upgrade again, and you can export everything before deciding what to do next.

7. Account deletion

You can delete your account at any time from your account settings. This is self-serve and permanent: it removes your account, your saved clients, and every invoice you've saved with us. We show a clear warning before this happens and ask you to confirm, because there's no undo once it's done. If you might need your invoice records later (for taxes or your own bookkeeping), export them first. A record of your past transactions may still be retained separately by us and by Paddle for as long as required by tax and accounting law, as described in our Privacy Policy; this doesn't include your saved invoices or client list.

8. Our intellectual property

Fairtab, including its templates, software, design, and branding, belongs to us. Using the Service gives you a limited, non-exclusive, non-transferable license to use Fairtab for your own invoicing, not a right to copy, resell, or redistribute the platform itself. This doesn't affect your ownership of your own invoice content under section 6.

9. Acceptable use

Don't use Fairtab to:

  • Send spam, phishing attempts, or fraudulent invoices
  • Impersonate another person or business
  • Attempt to bypass the free plan's limits or the payment flow
  • Interfere with the Service's normal operation, including automated scraping or attempts to access other users' data

We can suspend or terminate accounts that violate these Terms.

10. Disclaimers and limitation of liability

Fairtab is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We work to keep the Service reliable, but we don't guarantee it will be uninterrupted or error-free, and we're not responsible for how you use the invoices you create with it, including their accuracy or legal compliance.

To the extent permitted by law, our total liability to you for any claim relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) USD $50. We use a minimum floor here rather than a strict pay-to-date cap, because most Fairtab users are on the Free plan and pay us nothing, which would otherwise leave the cap at $0 for the large majority of users; a bare $0 cap risks being read by a court as illusory and struck out entirely, leaving no cap at all, so a small floor gives this clause a real, defensible number without meaningfully increasing our actual exposure. Nothing in these Terms limits liability where the law doesn't allow it to be limited (for example, liability for our own fraud, gross negligence, or death or personal injury caused by our negligence, where applicable).

11. Indemnification

You agree to defend and indemnify us against claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service in violation of these Terms, your violation of any law, or your infringement of another person's rights, including claims arising from the content of invoices you create or the client data you enter.

12. Changes to these Terms

We may update these Terms from time to time. If a change is material, we'll let you know (for example, by email or an in-app notice) before it takes effect. Continuing to use Fairtab after a change takes effect means you accept the updated Terms.

13. Dispute resolution

If a disagreement comes up, contact us first at hello@svnlabs.co and we'll try to resolve it informally. If we can't reach a resolution within a reasonable time, either party may bring the matter to the courts with jurisdiction under section 15 (Thailand). We don't require binding arbitration or a class-action waiver: informal negotiation followed by ordinary courts is simpler to administer and avoids the added enforceability questions arbitration clauses raise for consumers outside the U.S., including EU/UK users, where such clauses are more restricted. This approach should still be confirmed by an attorney familiar with Thai law and with the consumer-protection rules of the other jurisdictions Fairtab's users are actually in.

14. General

Assignment. You can't transfer your rights under these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.

Severability. If any part of these Terms is found unenforceable, the rest stays in effect.

Entire agreement. These Terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and us about the Service, and replace any earlier agreements on the same subject.

Force majeure. We're not responsible for delays or failures caused by events outside our reasonable control (for example, an outage at Supabase, Paddle, or our hosting provider).

No third-party beneficiaries. These Terms are between you and us; they don't give any other person or company a right to enforce them.

Notices. We may give you notice by email, through the Service, or by posting on our website. You can give us notice at hello@svnlabs.co.

15. Governing law

These Terms are governed by the laws of Thailand, where Uptechable Co., Ltd. is based, without regard to conflict-of-laws principles. This doesn't take away any mandatory consumer-protection rights you have under the law of your own country of residence where such law applies and can't be waived by contract, including statutory rights available to EU/UK/EEA users. Because Fairtab has users outside Thailand, an attorney should confirm this choice of law holds up against the mandatory consumer-protection rules of the other jurisdictions users are actually in before this is relied on for real users.
